What are complex shares?
Complex shares are shares or similar investment products with different characteristics and often higher risks than ordinary shares. These products are often traded outside regulated markets, via alternative trading platforms. Complex shares may be less liquid (lower tradability). They may also be less transparent, making it harder to accurately assess what you are investing in and what the associated risks are.

Investing in Rabobank Certificates
Rabobank Certificates are investments that form part of Rabobank’s equity capital. They have no fixed maturity date. You receive an interest payment linked to the interest rate on government bonds. Important to know:
The interest on Rabobank Certificates is not guaranteed
Rabobank may decide to reduce or temporarily stop interest payments if it’s financial situation gives reason to do so.
The certificates have no fixed maturity date
Rabobank determines if and when it repays or withdraws the certificates. It is therefore uncertain if and when you will get your original investment back.
Rabobank Certificates are deeply subordinated
This means that as a certificate holder, you are last in line for any repayment. If Rabobank experiences financial difficulties or goes bankrupt, you will only receive some or all of your money back if there is still money left after all other creditors have been paid in full. It is also possible that Rabobank may write off the certificates first, in which case you will lose your entire investment.
Be mindful of a possible ‘bail-in'
This is a European measure designed to keep banks operational and protect the financial system. In the event of a bail-in, Rabobank will have to postpone interest and repayments partially or fully, or may no longer be permitted to pay them.
The value of Rabobank Certificates can fluctuate significantly
The value depends on, among other things, Rabobank’s financial results and capital position, as well as the risk of Rabobank experiencing financial difficulties.
Investing in complex shares at ABN AMRO
At ABN AMRO, you can only invest in complex shares with the Self-directed Investing Plus investment option. You can buy and sell complex shares using the ABN AMRO app, Internet Banking, or My Dealing Room.
Before you can invest in complex shares at ABN AMRO, we will ask you to take a knowledge test. If you pass the test, you have sufficient knowledge and will be allowed to invest in complex shares. If you do not pass, investing in complex shares may not be suitable for you, and you will not be able to place orders in complex shares.
